ART 3. BEGRIPPE
a. Onder goederen wordt verstaan: alle producten die door Kourosh Art Is A Fashion worden vervaardigd of verhandeld, zoals schilderijen, beelden, toegepaste kunst, enz. Onder diensten wordt verstaan: alle immateriële leveringen, zoals arbeid, ideeën, adviezen, digitale ontwerpen, verzorgen van lessen, verlengen van rechten, enz.

ART 4. AANPASSING VAN DE ALGEMENE VOORWAARDEN
Aanpassingen van deze algemene voorwaarden kunnen alleen worden bekrachtigd, wanneer deze aanpassingen schriftelijk zijn aangevraagd en door Kourosh Art Is A Fashion schriftelijk zijn gehonoreerd en bevestigd.
ART 5.OFFERTES

ART 6. LEVERINGSTERMIJNEN

b. Is de opdrachtgever een vooruitbetaling verschuldigd of dient hij voor de uitvoering benodigde informatie en/of materialen ter beschikking te stellen, dan gaat de termijn waarbinnen de werkzaamheden dienen te worden afgerond niet eerder in dan nadat de betaling geheel is ontvangen, respectievelijk de informatie en/of materialen geheel ter beschikking zijn gesteld.
c. Termijnen waarbinnen de werkzaamheden dienen te zijn afgerond, zijn slechts te beschouwen als bindend indien dit uitdrukkelijk is overeengekomen.
d. De overeenkomst kan door de opdrachtgever niet wegens termijnoverschrijding worden ontbonden, tenzij uitvoering ontwijfelbaar onmogelijk is, of wanneer Kourosh Art Is A Fashion de overeenkomst niet of niet geheel uitvoert binnen een hem na afloop van de overeengekomen leveringstermijn schriftelijk aangezegde redelijke termijn. Ontbinding is dan toegestaan conform artikel 6:265 BW.
ART 7. LEVERING
Zowel Kourosh Art Is A Fashion als de opdrachtgever dient de geleverde goederen en diensten bij aflevering te controleren op hoeveelheden en waarneembare schade en/of volledigheid. Indien een beschadiging of gebrek aan de geleverde goederen en diensten wordt geconstateerd dient de opdrachtgever dit onmiddellijk aan Kourosh Art Is A Fashion te melden.
ART 8. ONTBINDING
Indien de Kourosh Art Is A Fashion door overmacht is verhinderd om de goederen en/of diensten te leveren, is hij gerechtigd de overeenkomst te ontbinden zonder dat hij hiervoor een schadevergoeding verschuldigd is.
ART 9. OVEREENKOMST
a. Er is sprake van een overeenkomst wanneer de door Kourosh Art Is A Fashion en opdrachtgever ondertekende opdrachtbevestiging door Kourosh Art Is A Fashion retour is ontvangen. ART 10. INFORMATIE
a. De opdrachtgever dient alle gegevens en bescheiden die Kourosh Art Is A Fashion in overeenstemming met zijn oordeel nodig heeft voor het correct uitvoeren van de verleende opdracht, tijdig in de gewenste vorm en op de gewenste wijze ter beschikking te stellen.
b. De opdrachtgever staat in voor de juistheid, volledigheid en betrouwbaarheid van de aan Kourosh Art Is A Fashion ter beschikking gestelde gegevens en bescheiden, ook indien deze van derden afkomstig zijn
c. Indien de opdrachtgever dit verzoekt, worden de ter beschikking gestelde bescheiden geretourneerd.
d. Extra kosten en extra honorarium voortvloeiende uit vertraging in de uitvoering vanwege het niet, niet tijdig of niet behoorlijk ter beschikking stellen van de verlangde gegevens en bescheiden, zijn voor rekening van opdrachtgever.
ART 11. UITVOERING
a. Kourosh Art Is A Fashion bepaalt de wijze waarop en door welke persoon de verleende opdracht uitgevoerd wordt.
b. Kourosh Art Is A Fashion kan alleen meer werkzaamheden dan waartoe de opdracht is verstrekt verrichten en aan de opdrachtgever in rekening brengen, indien de opdrachtgever hiervoor vooraf toestemming heeft verleend.
c. Indien de opdrachtgever derden bij de uitvoering van de opdracht wenst te betrekken, zal hij daartoe slechts overgaan na overeenstemming met Kourosh Art Is A Fashion. Het bepaalde in de vorige zin is van overeenkomstige toepassing op Kourosh Art Is A Fashion.
ART 12. GEHEIMHOUDING
a. Kourosh Art Is A Fashion is, tenzij hij een wettelijke of beroepsplicht tot bekendmaking heeft, verplicht tot geheimhouding tegenover derden.
b. Kourosh Art Is A Fashion is niet gerechtigd de informatie die hem door opdrachtgever ter beschikking wordt gesteld aan te wenden tot een ander doel dan waarvoor zij werd verkregen, tenzij Kourosh Art Is A Fashion voor zichzelf optreedt in een tucht-, civiele, of strafprocedure waarbij deze stukken van belang kunnen zijn.
c. De opdrachtgever zal de inhoud van adviezen of andere al of niet schriftelijke uitingen van Kourosh Art Is A Fashion, die niet zijn opgesteld of gedaan om derden van de daarin neergelegde informatie te voorzien, niet openbaar maken, tenzij daartoe door Kourosh Art Is A Fashion voorafgaande schriftelijke toestemming is verleend. De opdrachtgever zal er voor zorgdragen dat derden niet van de in de vorige zin bedoelde inhoud kennis kunnen nemen.

ART 13. INTELLECTUEEL EIGENDOM
a. Kourosh Art Is A Fashion behoudt zich alle rechten voor van geestesproducten welke hij gebruikt of heeft gebruikt in het kader van de uitvoering van de opdracht van opdrachtgever.
b. Het is de opdrachtgever uitdrukkelijk verboden die producten, waaronder mede begrepen computerprogramma's, systeemontwerpen, werkwijzen, adviezen, (model)contracten en andere geestesproducten van Kourosh Art Is A Fashion, al dan niet met inschakeling van derden, te verveelvoudigen, te openbaren of te exploiteren.
c. Het is de opdrachtgever niet toegestaan hulpmiddelen van die producten aan derden ter hand te stellen, anders dan ter inwinning van een deskundig oordeel betreffende de werkzaamheden van Kourosh Art Is A Fashion.
ART 14. EIGENDOM
De gehuurde/in bruikleen gegeven/aangekochte goederen, ideeën en ontwerpen van Kourosh Art Is A Fashion blijven zijn eigendom, mits ze worden aangekocht door de huurder/bruiklener en volledig worden (af)betaald door de koper.
ART 15. HONORARIUM
a. Het honorarium van de Kourosh Art Is A Fashion is niet afhankelijk van de uitkomst van de verleende opdracht.
b. Indien na totstandkoming van de overeenkomst, doch voordat de opdracht geheel is uitgevoerd, lonen en/of prijzen een wijziging ondergaan, is Kourosh Art Is A Fashion gerechtigd het overeengekomen tarief dienovereenkomstig aan te passen, tenzij opdrachtgever en Kourosh Art Is A Fashion hierover andere afspraken hebben gemaakt.
c. Het honorarium van Kourosh Art Is A Fashion, zo nodig vermeerderd met voorschotten en declaraties van ingeschakelde derden, wordt per maand, per kwartaal, per jaar of na volbrenging van de werkzaamheden aan de opdrachtgever in rekening gebracht, tenzij de opdrachtgever en Kourosh Art Is A Fashion hierover andere afspraken hebben gemaakt. Over alle door de opdrachtgever aan Kourosh Art Is A Fashion verschuldigde bedragen wordt de omzetbelasting afzonderlijk in rekening gebracht.
ART 16. AANBETALING
Kourosh Art Is A Fashion heeft het recht om een aanbetaling te vragen van de koper/huurder/ opdrachtgever voor nog te leveren goederen en diensten.
ART 17. BETALING
a. Betaling door de opdrachtgever dient, zonder aftrek, korting of schuldverrekening, binnen de overeengekomen termijnen, doch in geen geval later dan 14 dagen na factuurdatum, te geschieden door middel van overmaking ten gunste van een door Kourosh Art Is A Fashion.
b. Indien de opdrachtgever niet binnen de bovengenoemde termijn heeft betaald en ten minste eenmaal is aangemaand te betalen, is Kourosh Art Is A Fashion gerechtigd, zonder nadere ingebrekestelling en onverminderd de overige rechten van Kourosh Art Is A Fashion, de opdrachtgever vanaf de vervaldag de wettelijke rente in rekening te brengen tot op de datum van algehele voldoening.
c. Kourosh Art Is A Fashion heeft het recht, een maandelijkse rente van 1% te eisen, indien het factuurbedrag nog niet is betaald op de uiterste betaaldatum van de factuur. Daarnaast worden alle kosten die gepaard gaan met wanbetaling, zoals administratie, incasso, gerechtelijke en buitengerechtelijke kosten, in rekening gebracht bij de koper/huurder/opdrachtgever.
d. Indien de financiële positie of het betalingsgedrag van opdrachtgever naar het oordeel van Kourosh Art Is A Fashion daartoe aanleiding geeft, is Kourosh Art Is A Fashion gerechtigd van de opdrachtgever te verlangen, dat deze on verwijld (aanvullende) zekerheid stelt in een door Kourosh Art Is A Fashion te bepalen vorm. Indien de opdrachtgever dit nalaat, is Kourosh Art Is A Fashion gerechtigd, onverminderd zijn overige rechten, de verdere uitvoering van de overeenkomst onmiddellijk op te schorten en is al wat de opdrachtgever aan de Kourosh Art Is A Fashion uit welke hoofde ook verschuldigd is, direct opeisbaar.
e. In geval van een gezamenlijk gegeven opdracht zijn opdrachtgevers, voor zover de werkzaamheden ten behoeve van de gezamenlijke opdrachtgevers zijn verricht, hoofdelijk verbonden voor de betaling van het factuurbedrag.
ART 18. INRUILEN VAN GOEDEREN
a. De aangekochte goederen kunnen uitsluitend binnen 8 dagen na de aankoopdatum ingeruild worden voor een ander product. Om de goederen te kunnen inruilen moeten ze zich in dezelfde staat en verpakking bevinden zoals ten tijde van levering en ze mogen niet zijn gebruikt.
b. Indien de verkoper naderhand zichtbare en/of onzichtbare schade ontdekt, zullen herstelkosten bij de koper in rekening worden gebracht.
c. In opdracht gemaakte goederen, afgeprijsde goederen en aanbiedingen kunnen niet worden ingeruild.
ART 19. VERHUUR/BRUIKLEEN
De verhuurder/bruikleengever behoudt het recht zijn goederen terug te nemen tijdens de verhuur-/bruikleenperiode, nadat de huurder/bruiklener hiervan in kennis is gesteld. Eventuele vooruitbetaalde huur zal worden verrekend. In overleg kunnen de goederen gewisseld en/of aangevuld worden tijdens de verhuur-/bruikleenperiode.
ART 20. BEZWAAR
a. Bezwaren met betrekking tot verrichte werkzaamheden en/of het factuurbedrag dienen schriftelijk binnen 60 dagen na de verzenddatum van de stukken of informatie waarover opdrachtgever reclameert, dan wel binnen 60 dagen na de ontdekking van het gebrek indien opdrachtgever aantoont dat hij het gebrek redelijkerwijs niet eerder kon ontdekken, aan de Kourosh Art Is A Fashion kenbaar te worden gemaakt.
b. Bezwaren als in het eerste lid bedoelt, schorten de betalingsverplichting van opdrachtgever niet op.
c. In geval van een terecht uitgebracht bezwaar heeft Kourosh Art Is A Fashion de keuze tussen aanpassing van het in rekening gebrachte honorarium, het kosteloos verbeteren of opnieuw verrichten van de afgekeurde werkzaamheden of het geheel of gedeeltelijk niet (meer) uitvoeren van de opdracht tegen een restitutie naar evenredigheid van door de opdrachtgever al betaald honorarium.
ART 21. OPZEGGING OPDRACHT
a. Opdrachtgever en Kourosh Art Is A Fashion kunnen te allen tijde de overeenkomst opzeggen.
b. Opzegging dient schriftelijk aan de wederpartij te worden meegedeeld.
ART 22. AANSPRAKELIJKHEID GELEVERDE GOEDREN
a. Bij de levering van de goederen zal Kourosh Art Is A Fashion de koper/huurder/bruiklener/opdrachtgever inlichten over de eigenschappen van zijn kunstwerken/goederen voor zover hij daar zelf van op de hoogte is.
b. De koper/huurder/bruiklener/opdrachtgever dient de goederen zelf te installeren. Bij installatie van de goederen door Kourosh Art Is A Fashion dient de koper/huurder/bruiklener/opdrachtgever aanwezig te zijn en zelf de installatie te inspecteren en goed te keuren.
c. Na levering en installatie van de goederen en/of diensten en goedkeuring door de opdrachtgever is Kourosh Art Is A Fashion op geen enkele wijze meer aansprakelijk voor eventuele, door zijn goederen en diensten veroorzaakte, materiële en immateriële schade (bijvoorbeeld schade die veroorzaakt wordt door: een schilderij dat van de muur valt, overlast door verflucht, natte verf, verkleuring, houtworm, roest, enz.).
ART 23. AANSPRAKELIJKHEID GELEVERDE DIENSTEN
a. Kourosh Art Is A Fashion zal zijn werkzaamheden naar beste kunnen verrichten en zorgvuldigheid in acht nemen. Kourosh Art Is A Fashion is niet aansprakelijk voor ontstane schade als gevolg van fouten door onjuiste of onvolledige informatieverstrekking van de opdrachtgever. Indien de opdrachtgever aantoont dat hij schade heeft geleden door een fout van Kourosh Art Is A Fashion die bij zorgvuldig handelen zou zijn vermeden, is Kourosh Art Is A Fashion voor die schade slechts aansprakelijk tot een maximum van driemaal het bedrag van het honorarium voor de desbetreffende opdracht over het laatste kalenderjaar, tenzij er aan de zijde van Kourosh Art Is A Fashion sprake is van opzet of daarmee gelijk te stellen grove nalatigheid.
b.De opdrachtgever vrijwaart Kourosh Art Is A Fashion voor vorderingen van derden wegens schade die veroorzaakt is doordat de opdrachtgever onjuiste of onvolledige informatie heeft verstrekt, tenzij de opdrachtgever aantoont dat de schade geen verband houdt met verwijtbaar handelen of nalaten zijnerzijds dan wel veroorzaakt is door opzet of grove schuld van Kourosh Art Is A Fashion.
ART. 24. RISICO'S
De koper/huurder/bruiklener is verantwoordelijk voor het transport en verzekering van de goederen na levering. Eventuele beschadiging of vermissing van de goederen komt voor rekening van de koper/huurder/bruiklener, zoals ook eventuele herstelkosten.
ART 25. VERVALTERMIJN
Voor zover in deze algemene voorwaarden niet anders is bepaald, vervallen vorderingsrechten en andere bevoegdheden van de opdrachtgever tegen Kourosh Art Is A Fashion in verband met het verrichten van werkzaamheden door de Kourosh Art Is A Fashion in ieder geval één jaar na het moment waarop opdrachtgever bekend werd of redelijkerwijs bekend kon zijn met het bestaan van deze rechten en bevoegdheden. |
